Picture two things laid on top of each other with no overhang anywhere — the fit is perfect, nothing left over on either side. Exactly claims that perfect fit. Once the word means "a perfect match", the negative becomes useful too: not exactly says the fit is off, sometimes only slightly, sometimes completely.
