If you are preoccupied, your mind is already full, so you do not really take in the person in front of you. You might look far away, give short answers, walk past a friend. We say preoccupied with a worry, an exam, a person, money. It can sound a little cross ('You didn't even hear me') or simply kind, a way of noticing that someone is elsewhere. The thought got there first and is hogging the space. If a chair is taken, that chair is occupied, not preoccupied. Preoccupied is for a busy mind, not a busy seat. People also use it when the 'something' is not a worry at all — a hobby, a plan, a crush — anything that steals attention.
